{"id":3633,"date":"2019-10-17T22:59:47","date_gmt":"2019-10-18T02:59:47","guid":{"rendered":"http:\/\/utopsie.com\/work\/menonb\/?p=3633"},"modified":"2020-03-09T22:10:04","modified_gmt":"2020-03-10T02:10:04","slug":"negociationtroispiresarguments","status":"publish","type":"post","link":"https:\/\/utopsie.com\/work\/menonb\/negociationtroispiresarguments\/","title":{"rendered":"N\u00c9GOCIATION DE CONTRAT : LES TROIS PIRES ARGUMENTS"},"content":{"rendered":"\n<p><em><span style=\"text-decoration: underline;\">Le texte ci-dessous en est un d&#8217;<strong>OPINION<\/strong>.<\/span><\/em><br><\/p>\n\n\n\n<p>La n\u00e9gociation de contrats am\u00e8ne son lot de d\u00e9fis et de sueurs froides \u00e0 ceux qui la m\u00e8nent, alors qu\u2019un nombre incalculable d\u2019\u00e9l\u00e9ments perturbateurs peuvent entrer en ligne de compte; le pouvoir de n\u00e9gociation et la notori\u00e9t\u00e9 des parties; leur relation, y compris celles de leurs repr\u00e9sentants; leurs temp\u00e9raments respectifs; les d\u00e9lais allou\u00e9s et la (im)patience de chacun; le nombre d\u2019interlocuteurs et de niveaux d\u00e9cisionnels; les capacit\u00e9s financi\u00e8res des parties et les enjeux financiers, etc. <\/p>\n\n\n\n<p>R\u00e8gle g\u00e9n\u00e9rale : la n\u00e9gociation implique les notions de \u00ab compromis<em> \u00bb<\/em> et d\u2019\u00ab \u00e9quilibre<em> \u00bb<\/em>. Les Parties doivent id\u00e9alement arriver \u00e0 une entente qui sert leurs deux int\u00e9r\u00eats \u2014 dans le cas contraire, soit le repr\u00e9sentant \u00e9tait trop occup\u00e9 \u00e0 battre son dernier record <em><a rel=\"noreferrer noopener\" aria-label=\"WordBlitz (s\u2019ouvre dans un nouvel onglet)\" href=\"https:\/\/www.facebook.com\/pages\/category\/Interest\/Word-Blitz-509575059455621\/\" target=\"_blank\">WordBlitz<\/a><\/em>\u2026 soit l\u2019autre Partie n\u2019avait pas r\u00e9ellement l\u2019intention de n\u00e9gocier.&nbsp; <\/p>\n\n\n\n<p>Soyons clairs: toutes les batailles ne peuvent \u00eatre gagn\u00e9es, et la n\u00e9gociation doit se faire de fa\u00e7on r\u00e9aliste. Un artiste n\u2019ayant aucun historique commercial et ne jouissant d\u2019aucun int\u00e9r\u00eat concret au sein de l\u2019industrie peut difficilement exiger de sa maison de disques qu\u2019elle lui avance les sommes n\u00e9cessaires \u00e0 financer le loft de ses r\u00eaves. <\/p>\n\n\n\n<p>Cela \u00e9tant dit, il est en droit\nd\u2019exiger qu\u2019elle consid\u00e8re certaines de ses demandes et qu\u2019elle ne lui serve\npas plut\u00f4t des r\u00e9ponses sans fondement, automatis\u00e9es et absolument\nimpertinentes.<\/p>\n\n\n\n<p>Et parmi ces r\u00e9ponses les plus m\u00e9prisables se trouve probablement, \u00e0 mon avis, la suivante&nbsp;: <em>nous ne changerons pas, il s\u2019agit de notre mod\u00e8le de contrat<\/em>.<\/p>\n\n\n\n<p>\u2014 <em>D\u2019accord, mais pourriez-vous\nau moins nous expliquer la logique?<\/em><\/p>\n\n\n\n<p>Vous trouverez-ci-dessous une liste des trois (pires) arguments qui me sont donn\u00e9s de recevoir, r\u00e9guli\u00e8rement. Selon le cas, je vous sugg\u00e8re fortement (i) de vous en m\u00e9fier; (ii) d\u2019\u00e9viter de les utiliser; (iii) de continuer \u00e0 les remettre en question.<\/p>\n\n\n\n<p>* Par souci de contexte, prenons l\u2019exemple d\u2019une n\u00e9gociation entre un artiste et une maison de disques. ** Dans les faits, ce sont des r\u00e9ponses que je re\u00e7ois plusieurs fois par semaine, dans le cadre de n\u00e9gociations toutes aussi diff\u00e9rentes les unes que les autres! <\/p>\n\n\n\n<p><strong>1. <\/strong><em><strong>C\u2019est notre mod\u00e8le \u2013 on a toujours fait \u00e7a comme \u00e7a&nbsp;: \u00e7a ne bouge pas<\/strong><\/em><strong>.<\/strong><\/p>\n\n\n\n<p>La Reine d&#8217;entre toutes.<\/p>\n\n\n\n<ul><li>Premi\u00e8rement, cet argument n\u2019est g\u00e9n\u00e9ralement bas\u00e9 sur aucune logique v\u00e9ritable, si ce n\u2019est que l\u2019interlocuteur n\u2019a pas l\u2019int\u00e9r\u00eat, ou encore pire, la compr\u00e9hension suffisante pour trouver un compromis.<\/li><\/ul>\n\n\n\n<ul><li>Les\nchances sont que ce contrat a \u00e9t\u00e9 r\u00e9dig\u00e9 il y a plus d\u2019une d\u00e9cennie, dans une\nindustrie et un \u00e9tat d\u2019esprit commercial compl\u00e8tement diff\u00e9rents; que ce\ncontrat soit justement en partie d\u00e9suet et en retard sur les usages contemporains.\n<\/li><\/ul>\n\n\n\n<ul><li>Un mod\u00e8le de contrat est pr\u00e9cis\u00e9ment un gabarit; une r\u00e9f\u00e9rence; un plan de travail \u2013 il doit \u00eatre r\u00e9fl\u00e9chi pour accueillir certains ajustements.<\/li><\/ul>\n\n\n\n<p>Cette r\u00e9ponse est par ailleurs d\u2019autant plus inqui\u00e9tante qu\u2019elle est symptomatique d\u2019une question beaucoup plus alarmante\u00a0: comment s\u2019attendre de sa maison de disques qu\u2019elle soit innovatrice, cr\u00e9atrice et \u00e0 l\u2019\u00e9coute lorsque son discours initial pr\u00f4ne plut\u00f4t une approche conservatrice, rigide et d\u00e9nu\u00e9e de toute volont\u00e9 de compromis ?<\/p>\n\n\n\n<p><strong>2. <\/strong><em><strong>C\u2019est notre mod\u00e8le \u2013 Tous nos autres artistes ont ces conditions.<\/strong><\/em><\/p>\n\n\n\n<p>Oui, le souci d\u2019\u00e9quit\u00e9 est honorable. Mais en quoi la n\u00e9gociation d\u2019une tierce partie est pertinente dans les circonstances ? Chaque n\u00e9gociation est diff\u00e9rente. Les artistes en question \u00e9taient-ils (bien) repr\u00e9sent\u00e9s? Jouissaient-ils du m\u00eame pouvoir de n\u00e9gociation? Exer\u00e7aient-ils dans le m\u00eame contexte?<br><\/p>\n\n\n\n<p>Le fameux souci d\u2019<em>\u00e9viter un pr\u00e9c\u00e9dent<\/em> peut par ailleurs \u00eatre att\u00e9nu\u00e9 en soumettant les parties \u00e0 une clause de confidentialit\u00e9 forte et claire.<\/p>\n\n\n\n<p>Pire que tout\u00a0: la r\u00e9f\u00e9rence \u00e0 un artiste d\u2019une notori\u00e9t\u00e9 plus importante pour justifier son refus. \u00ab<em> M\u00eame X n\u2019a pas ces condition<\/em>s. \u00bb  (!)<\/p>\n\n\n\n<p><strong>3. <\/strong><em><strong>C\u2019est notre mod\u00e8le \u2013 Nous ne pouvons inclure cette condition au contrat, mais soyez assur\u00e9s que nous la respecterons en pratique. <\/strong><\/em><\/p>\n\n\n\n<p>\u00c0 quoi bon faire une entente,\ndans ce cas?<\/p>\n\n\n\n<p>Le but principal d\u2019un contrat est de formaliser l\u2019accord intervenu entre les parties et d\u2019\u00e9viter le plus de zones grises possible. Un contrat peut potentiellement \u00eatre c\u00e9d\u00e9, \u00eatre appliqu\u00e9 par de nouveaux intervenants et \u00eatre interpr\u00e9t\u00e9 de mille et une fa\u00e7ons\u00a0: pourquoi ne pas profiter des moments consacr\u00e9s et des sommes engag\u00e9es \u00e0 l\u2019\u00e9tape de n\u00e9gociation pour s\u2019assurer de ne rien oublier? <\/p>\n\n\n\n<p>______________________________________________________________________________<\/p>\n\n\n\n<p>Le fait est qu&#8217;une n\u00e9gociation implique g\u00e9n\u00e9ralement un investissement consid\u00e9rable, en temps, en argent et sur le plan \u00e9motif; trois aspects habituellement plut\u00f4t sensibles pour de nombreux artistes.
